Verification opinions and publicity of
Zhejiang Furun Digital Technology Co., Ltd. (hereinafter referred to as "the company") deliberated and passed the 2021 restricted stock incentive plan (Draft) and its abstract at the fourth meeting of the ninth board of supervisors held on March 18, 2021. According to the provisions of the administrative measures for equity incentive of listed companies (hereinafter referred to as the "administrative measures"), the restricted stocks of the company in 2021 were reviewed and approved The names and positions of the incentive objects of the 2021 restricted stock incentive plan determined in the incentive plan (Draft) were publicized within the company. The board of supervisors of the company checked the incentive objects in combination with the publicity. The relevant publicity and verification are as follows:
I. publicity and verification methods
1. Publicity of incentive objects by the company
(1) contents of publicity: the list and positions of the objects to be encouraged in the incentive plan of the company;
(2) publicity time: 12 days from March 19, 2021 to March 30, 2021;
(3) publicity mode: internal publicity of the company;
(4) feedback mode: feedback in written form, and record relevant feedback;
(5) publicity results: within the time limit of publicity, no organization or individual raised any objection.
2. The way of the company's board of supervisors to check the target to be encouraged
The board of supervisors of the company has checked the name list, ID card, labor contract signed between the incentive object and the company (including subsidiary companies, the same below), the position held by the incentive object in the company and its employment documents, the salary bill of the incentive object and the certificate of the company paying various social insurance funds for the incentive object.
2、 Inspection opinions of the board of supervisors
According to the provisions of the "management measures", combined with the company's list of incentive objects and their positions in the incentive plan
As for the publicity and the verification results of the board of supervisors, the board of supervisors issued the following verification opinions:
1. The personnel listed in the list of incentive objects are the employees of the company when the company implements the incentive plan, and have the qualification stipulated in the company law, securities law and other relevant laws, regulations, normative documents and the articles of association.
2. The basic information of the object to be encouraged in this incentive plan is true, and there is no false, intentional concealment or major misunderstanding.
3. There is no circumstance that the object of the incentive plan is not allowed to be an incentive object as stipulated in Article 8 of the administrative measures
(1) being identified as inappropriate by the stock exchange in the past 12 months;
(2) being identified as inappropriate by the CSRC and its dispatched offices within the past 12 months;
(3) being subject to administrative punishment or market prohibition measures by the CSRC and its dispatched offices for major violations of laws and regulations in the past 12 months;
(4) those who are not allowed to serve as directors or senior managers of the company as stipulated in the company law;
(5) it is not allowed to participate in the equity incentive of listed companies according to laws and regulations;
(6) other circumstances recognized by the CSRC.
4. The objects to be encouraged in this incentive plan are all in line with the scope of the incentive objects specified in the incentive plan.
5. The incentive objects proposed in this incentive plan do not include the company's independent directors, supervisors, shareholders or actual controllers holding more than 5% of the company's shares alone or jointly, and their spouses, parents and children.
In conclusion, the board of supervisors of the company believes that the incentive objects listed in the incentive plan meet the requirements of relevant laws, regulations and normative documents, and they are legal and effective as the incentive objects of the restricted stock incentive plan in 2021.
